NICK MANGWANA: WHEREAS the Companies and Other Business Entities Act [Chapter 24:3 1] (hereinafter “the Act”), mandates the re-registration of all companies and Private Business Corporations registered before the implementation of the electronic registry system; AND WHEREAS it is necessary to establish clear guidelines and deadlines for such re-registration to ensure compliance and maintain an accurate register of active business entities: NOW, THEREFORE, the Minister of Justice, Legal and Parliamentary Affairs, in terms of section 303 of the Act, hereby makes the following regulations- The deadline for completing the re-registration process shall be 20th April, 2026. Failure to re-register by the specified deadline shall result in the automatic deregistration of the company or PBC and such entity shall be removed from the official register of Companies. These regulations shall come into operation on the date of publication in the Government Gazette.
